Step #1: Business entity registration

Incorporate a New Company or Register an Overseas Company

Register online via the Business Registries Office under the Ministry of Trade and Economic Development (MTED).


Process 

  1. Create an account on the portal via the Business Registries Office. This is required before proceeding with the next steps. 
  2. Incorporation of a Tonga Company online application (company name and entity type). 
  3. Pay registration fee via credit card, cash, or cheque accepted (US$40/315 – TOP100/750).


Information required 

  • Proposed Business Name 
  • Contact Details: Contact information for the company, including various addresses (such as a registered office address) and principal place of business.
  • Directors: Enter relevant details for each director.
  • Shareholders: Enter relevant details for each shareholder.
  • Applicants: Enter relevant details for each applicant.
  • Company Constitution for local company. For overseas, evidence of incorporation from the home jurisdiction, such as a certificate of incorporation or of good standing.
  • Declaration
  • Payment 


Issuance of Certificate of Incorporation

After submission, the application is reviewed by the Registrar. If additional information is needed, the application will be marked “pending” until the required details are provided. Once compliant with legal requirements, a Certificate of Incorporation (or Overseas Company Registration) will be emailed. The Registrar will contact the applicant by email if further clarification is required.
